These Terms of Use are a legally binding contract between you and Galvanize regarding your use of the Site.

PLEASE READ THE FOLLOWING TERMS CAREFULLY

BY ACCESSING OR USING THE SITE, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND, AS A CONDITION TO YOUR USE OF THE SITE, YOU AGREE TO BE BOUND BY, THE FOLLOWING TERMS AND CONDITIONS INCLUDING GALVANIZE ’S PRIVACY POLICY (TOGETHER, THESE “TERMS”). If you are not eligible, or do not agree to the Terms, then you do not have our permission to use the Site. YOUR USE OF THE SITE, AND GALVANIZE ’S PROVISION OF THE SITE TO YOU, CONSTITUTES AN AGREEMENT BY GALVANIZE AND BY YOU TO BE BOUND BY THESE TERMS.
  1. Galvanize Website Overview. Galvanize is a medical device company focused on developing disease-modifying therapies that improve survival, quality of life, and outcomes for chronic bronchitis symptoms, cardiac arrhythmias, and soft tissue ablation and the Site provides information about our company, products and services.
  2. No Medical Advice. Galvanize and the Site do not provide any medical advice or opinions, nor does your use of the Site establish a doctor-patient relationship between you and Galvanize . All content on the Site is provided for informational purposes only and does not serve as a substitute for the advice of a medical professional. Certain content may be intended for use by licensed medical professionals. Physicians and other health care providers should always exercise their own clinical judgment in deciding whether to use a particular product when treating a particular patient.
  3. Eligibility. You must be at least 18 years old to use the Site. By agreeing to these Terms, you represent and warrant to us that: (a) you are at least 18 years old; (b) you have not previously been suspended or removed from the Site; and (c) your use of the Site is in compliance with any and all applicable laws and regulations.
  4. Use of the Site:
    • Use. Subject to your complete and ongoing compliance with these Terms, Galvanize grants you, solely for your personal use, limited, non-exclusive, non-transferable, non-sublicensable, revocable permission to access and use the Site during the Term.
    • Restrictions on Use. Except and solely to the extent such a restriction is impermissible under applicable law, you may not: (a) reproduce, distribute, publicly display, or publicly perform the Site or any Materials (defined in Section 5 below); (b) make modifications to the Site or any Materials; or (c) interfere with or circumvent any feature of the Site, including any security or access control mechanism. If you are prohibited under applicable law from using the Site, you may not use it.
    • Information You Submit. Do not submit any information or other materials that you consider confidential or proprietary through the Site. If you choose to provide input and suggestions regarding us, our products or services, or problems with or proposed modifications or improvements to the Site (“Feedback”), then you do so on a non-confidential basis (regardless of any designation or indication to the contrary in the submitted information or any accompanying correspondence) and you hereby grant Galvanize an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free, transferable, sublicensable right to exploit the Feedback in any manner and for any purpose, including to improve the Site and create other products and services.
  5. Ownership; Proprietary Rights. The Site is owned and operated by Galvanize . The visual interfaces, graphics, design, compilation, information, data, computer code, and all other elements of the Site (“Materials”) provided by Galvanize are protected by intellectual property and other laws. As between us, all Materials included in the Site are the property of Galvanize or its third party licensors. Except as expressly authorized by Galvanize , you may not make use of the Materials. Galvanize reserves all rights to the Materials not granted expressly in these Terms. Product and company names, graphics, logos, icons, designs, words, titles or phrases displayed on the Site may be the service marks or trademarks of their respective owners, used by us with their permission, and their display on our Site does not imply that a license of any kind has been granted to you.
  6. Third Party Sites. The Site may contain links to third party websites. Linked websites are not under Galvanize’s control, and Galvanize is not responsible for their content.
  7. Prohibited Conduct. BY USING THE SITE YOU AGREE NOT TO:
    • use the Site for any illegal purpose or in violation of any local, state, national, or international law;
    • violate, or encourage others to violate, any right of a third party, including by infringing or misappropriating any third party intellectual property right;
    • interfere with security-related features of the Site, including by: (i) disabling or circumventing features that prevent or limit use or copying of any content; or (ii) reverse engineering or otherwise discovering the source code of any portion of the Site except to the extent that the activity is expressly permitted by applicable law;
    • interfere with the operation of the Site or any user’s enjoyment of the Site, including by interfering with or disrupting any network, equipment, or server connected to or used to provide the Site;
    • attempt to do any of the acts described in this Section 7 or assist or permit any person in engaging in any of the acts described in this Section 7.
  8. Modification of these Terms. We reserve the right to change these Terms on a going-forward basis at any time. Please check these Terms periodically for changes. Modifications are effective upon publication. Except as expressly permitted in this Section 8, these Terms may be amended only by a written agreement signed by authorized representatives of the parties to these Terms. Disputes arising under these Terms will be resolved in accordance with the version of these Terms that was in effect at the time the dispute arose.
  9. Term, Termination and Modification of the Site:
    • Term. These Terms are effective beginning when you accept the Terms or first access or use the Site, and ending when terminated as described in Section 9.2 (the “Term”).
    • Termination. If you violate any provision of these Terms, your authorization to access the Site and these Terms automatically terminate. In addition, Galvanize may, at its sole discretion, terminate these Terms or suspend or terminate your access to the Site, at any time for any reason or no reason, with or without notice.
    • Effect of Termination. Upon termination of these Terms: (a) your license rights will terminate and you must immediately cease all use of the Site and (b) Sections 4.3, 5, 9.3, 10, 11, 12, and 13 will survive.
    • Modification of the Site. Galvanize reserves the right to modify or discontinue the Site at any time (including by limiting or discontinuing certain features of the Site), temporarily or permanently, without notice to you. Galvanize will have no liability for any change to the Site or any suspension or termination of your access to or use of the Site.
  10. Indemnity. To the fullest extent permitted by law, you are responsible for your use of the Site, and you will defend and indemnify Galvanize and its offcers, directors, employees, consultants, affliates, subsidiaries and agents (together, the “Galvanize Entities”) from and against every claim brought by a third party, and any related liability, damage, loss, and expense, including reasonable attorneys’ fees and costs, arising out of or connected with: (a) your unauthorized use of, or misuse of, the Site; (b) your violation of any portion of these Terms, any representation, warranty, or agreement referenced in these Terms, or any applicable law or regulation; (c) your violation of any third party right, including any intellectual property right or publicity, confidentiality, other property, or privacy right; or (d) any dispute or issue between you and any third party. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (without limiting your indemnification obligations with respect to that matter), and in that case, you agree to cooperate with our defense of those claims.
  11. Disclaimers; No Warranties THE SITE AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH THE SITE ARE PROVIDED “AS IS” AND ON AN “AS AVAILABLE” BASIS. GALVANIZE DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, RELATING TO THE SITE AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH THE SITE, INCLUDING: (A) ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, OR NON-INFRINGEMENT; AND (B) ANY WARRANTY ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE. THE LIMITATIONS IN THIS SECTION 12 WILL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
    2. Miscellaneous
      • General Terms. These Terms and any other agreements expressly incorporated by reference into these Terms, are the entire and exclusive understanding and agreement between you and Galvanize regarding your use of the Site. You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign these Terms at any time without notice or consent. The failure to require performance of any provision will not affect our right to require performance at any other time after that, nor will a waiver by us of any breach or default of these Terms, or any provision of these Terms, be a waiver of any subsequent breach or default or a waiver of the provision itself. Use of section headers in these Terms is for convenience only and will not have any impact on the interpretation of any provision. Throughout these Terms the use of the word “including” means “including but not limited to”. If any part of these Terms is held to be invalid or unenforceable, the unenforceable part will be given effect to the greatest extent possible, and the remaining parts will remain in full force and effect.
      • Governing Law. These Terms are governed by the laws of the State of California without regard to conflict of law principles. You and Galvanize submit to the personal and exclusive jurisdiction of the state courts and federal courts located within Santa Clara County, California for resolution of any lawsuit or court proceeding permitted under these Terms. We operate the Site from our offces in California, and we make no representation that Materials included in the Site are appropriate or available for use in other locations.
    3. Privacy Policy. Please read the Galvanize Privacy Policy www.Galvanizetx.com/privacy-policy/ carefully for information relating to our collection, use, storage, disclosure of your personal information. The Galvanize Privacy Policy is incorporated by this reference into, and made a part of, these Terms
      • Additional Terms. Your use of the Site is subject to all additional terms, policies, rules or guidelines applicable to the Site or certain features of the Site that we may post or link to from the Site (the “Additional Terms”). All Additional Terms are incorporated by this reference into, and made a part of, these Terms.
      • Consent to Electronic Communications. By using the Site, you consent to receiving certain electronic communications from us as further described in our Privacy Policy. Please read our Privacy Policy to learn more about our electronic communications practices. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that those communications be in writing.

We make no representation that the Site is appropriate or available for use outside of the United States. Laura Francis

CEO and Board Member of SI-BONE, Inc.

Laura Francis is the Chief Executive Officer and a Board Member of SI-BONE, Inc. (Nasdaq: SIBN), a Silicon Valley based high-growth medical device company. She was previously the Chief Financial Officer and Chief Operating Officer of the company. Laura played a pivotal role in bringing the company public in October 2018 and building the operations of the business. Prior to joining SI-BONE, Laura held other executive and leadership roles with public and private life science companies, including Auxogyn, now part of Progyny (Nasdaq: PGNY), Promega Corporation, and Bruker Corporation (Nasdaq: BRKR). Earlier in her career, she was an Engagement Manager with McKinsey & Company and Audit Manager with Coopers & Lybrand, now PricewaterhouseCoopers. Laura was a Board Member of Shockwave Medical, Inc. (Nasdaq: SWAV), where she served as Audit Committee Chair and Compensation Committee Member, prior to its acquisition by Johnson & Johnson. She received a B.B.A. from the University of Wisconsin and a M.B.A. from Stanford University. She is a Certified Public Accountant (inactive) in the State of California.

David Lewis

Managing Partner, Gilmartin Capital

David Lewis is the Managing Partner of Gilmartin Capital, a firm he founded in 2021. For the previous 15 years, David was the Head of Medical Device Equity Research at Morgan Stanley, where he covered more than $1.5 trillion in market capitalization and evaluated over 150 M&A and IPO events. During his tenure at Morgan Stanley, David was the top ranked US Equity analyst in Medical Supplies & Devices. Before his time at Morgan Stanley, David was a Partner at Thomas Weisel Partners. David is a key thought leader in the sector, with decades of experience advising medical device companies and boards on strategic and financial direction. David graduated from the University of Pennsylvania with honors and a focus on pre-medical studies.

Steve Anheier

Chief Financial Officer

Steve is Chief Financial Officer at Galvanize. He brings a proven history of driving growth in revenue and profitability. Most recently, Steve was CFO of Vocera Communications, a publicly traded healthcare IT company focused on clinical communication and collaboration, which was acquired by Stryker Corporation for $3.1 billion. Steve was internally promoted into the CFO position at Vocera from his role as Vice President of Finance & Accounting. Prior to Vocera, Steve served in various roles of increasing responsibility for Accuray Incorporated in Strategic Finance and Investor Relations. He started his career at KPMG where he received his CPA and holds a bachelor’s degree in accounting from California Polytechnic State University San Luis Obispo.

Gabe McHugh

Chief Commercial Officer, Galvanize

Gabe is the Chief Commercial Officer of Galvanize. He is an accomplished executive leader with nearly 25 years of success in the MedTech industry. Before joining Galvanize, he served as Executive Vice President and Global Division Head at Olympus, leading the $2.2B Surgical & Interventional Solutions Division and overseeing more than 8,000 employees worldwide. He also held multiple senior leadership roles at Medtronic, Covidien, and Cardinal Health, consistently delivering strong financial performance, market-shaping innovation, and high-performing teams. Known for his strategic clarity, and commercial acumen, he brings deep expertise in scaling businesses, developing markets, and building cultures of accountability and growth. He earned an MBA from Babson College and holds a BS from Tennessee State University.

Seth Harrison, MD

Founder and Managing Partner, ATP

Seth Harrison is founder and managing partner of ATP (Apple Tree Partners), a leading life sciences venture capital firm. Seth began investing in life sciences in 1991 as a venture partner at Sevin Rosen Funds and went on to be a general partner at Oak Investment Partners before starting ATP in 1999. Some of his earlier investments include Aileron Therapeutics, Akero Therapeutics, ArQule, Chinook Therapeutics, Coelacanth, Corvidia Therapeutics, Cyrano Sciences, Gloucester Pharmaceuticals, HeartWare, Informed Access, SGX Pharmaceuticals, Stoke Therapeutics, Syntimmune, Tendyne, Ultracision, and ViroPharma. Seth currently serves on the boards of Akero Therapeutics and Stoke Therapeutics as well as the boards of the 15 portfolio companies created within ATP’s current fund to date. From 2002 to 2010, he was a member of the board of the International Partnership for Microbicides, a nonprofit product development partnership focused on women’s health and HIV prevention. Seth received an AB from Princeton University and an MD and MBA both from Columbia University, and completed a surgery internship at the Presbyterian Hospital in the City of New York.

Antoine Papiernik

Chairman & Managing Partner, Sofinnova Partners

Antoine Papiernik is Chairman and Managing Partner at Sofinnova Partners, which he joined in 1997. Antoine actively invests through Sofinnova’s Capital Strategy, the firm’s flagship investment strategy. Over his career, he has been an initial investor and active board member in a number of publicly listed companies including: Actelion (ultimately sold to J&J), ProQR, NovusPharma (sold to CTI), Movetis (sold to Shire), and Shockwave Medical (sold to Johnson and Johnson). Trade sale success stories of private companies include CoreValve (sold to Medtronic), Fovea (sold to Sanofi Aventis), Ethical Oncology Science (EOS, sold to Clovis Oncology) and Recor Medical (sold to Otsuka). He has also invested in and is a board member of private companies Reflexion Medical, Tissium, Pi-Cardia, SafeHeal, Noema Pharma, May Health, Highlife and Galvanize. Antoine has an MBA from the Wharton School of Business, University of Pennsylvania. He has been selected twice for the Forbes Midas List, an annual ranking recognizing the world’s top venture capital investors. Antoine is one of the few European and life science investors to have appeared on the prestigious list.

Doug Godshall

Chairman and CEO, Galvanize

Doug Godshall was appointed Chief Executive Officer and Chairman of Galvanize in 2025. He served in his prior role as President and CEO of Shockwave Medical until its sale to Johnson & Johnson in 2024 for $13.1B. He is also the former CEO and Director of HeartWare, which was acquired by Medtronic in 2016 for $1.1B. Prior to HeartWare, Doug held executive and leadership positions at Boston Scientific. Doug also serves on the Board of Saluda Medical and is Chairman of the Medical Device Manufacturers of America (MDMA). He earned an MBA from Northeastern University and a BA in Economics from Lafayette College.

Steve Ricottone

Vice President, Global Market Development
Steve is vice president of Global Market Development for the airway/COPD division of Galvanize Therapeutics. In this role, he leads commercial development activities for RheOx globally. Steve is a healthcare executive with more than 15 years of successful healthcare management experience in sales, marketing, and market development, with a focus on developing markets for breakthrough technologies internationally. Steve joined Galvanize Therapeutics from Pulmonx, a global leader in interventional pulmonology that he joined at a very early stage and left post IPO (NASDAQ; LUNG) and where he was vice president of Marketing and Market Development. Previously, Steve held various sales and marketing management roles at Baxter, Zimmer, and Bayer. Steve holds a bachelor’s degree in Physiotherapy from the University of Brussels (Belgium) and a Master of Business Administration (MBA) from the Open University, Milton Keynes (UK).

Michael Iversen

Vice President, Business Development and Commercial Strategy

Michael is Vice President of Business Development and Commercial Strategy. He brings to Galvanize more than 20 years of commercial experience in the Electrophysiology market. He most recently served as Chief Commercial Officer at Acutus Medical and previously worked in various leadership positions at Biotronik, Boston Scientific and Guidant. He holds an MBA from the University of Michigan and a bachelor’s degree in Economics from Copenhagen Business School.

Bill Green

Senior Vice President, Sales and Marketing

Bill serves as senior vice president of Sales and Marketing for Galvanize. Bill has been a part of the Thoracic Oncology and Interventional Oncology space since 2004. He has led early commercial teams at medical device startups, such as superDimension (acquired by Covidien/Medtronic in 2012), NeuWave Medical (acquired by Johnson & Johnson in 2015), and most recently at Auris Health, where he was the vice president of Sales. Auris was acquired by Johnson & Johnson for $3.4 billion in 2019, one of the largest pre-IPO medical device company acquisitions to date. Bill has a bachelor’s degree in Business Finance from Duquesne University.

William S. Krimksy, MD, FCCP, DAABIP

Chief Medical Officer

William Krimsky is Chief Medical Officer of Galvanize Therapeutics®. Bill has been a pioneer in the Interventional Pulmonology space for more than 20 years, carving an innovative pathway for the treatment of lung diseases. In 2015, he and Jonathan Waldstreicher co-founded Galvanize Therapeutics and co-invented the Aliya® and RheOx® technologies, continuing his focus on therapeutic intervention in the pulmonary and oncology fields. Bill earned his medical degree at the University of Pittsburgh School of Medicine and completed an internship at Mercy Hospital and a residency at Johns Hopkins University/Sinai Hospital. Following that, he was a fellow in pulmonary and critical care medicine at Dartmouth-Hitchcock Medical Center and a visiting fellow in Interventional Pulmonology at the Hospital of the University of Pennsylvania. He is the author of multiple publications.

James Stambaugh

Senior Vice President, Clinical Affairs
James is senior vice president of Clinical Affairs for Galvanize. He has over 25 years of experience in medical device and pharmaceutical development, from early-stage start-ups to large, established corporations, and has been responsible for over 35 clinical trials from FIH to pivotal phase III. Prior to joining Galvanize, James was senior vice president of Clinical Affairs at Intersect ENT, where he played a central role in taking the company from inception and concept stage in 2006, through several rounds of VC financing, to an IPO in 2014. Prior to that, James served as director, of Clinical Operations for Guidant’s Vascular Intervention division (acquired by Abbott in 2006), responsible for conduct of clinical studies for embolic protection, coronary stents, and drug-eluting stents. James started his career as an analytical chemist at an ophthalmic pharmaceutical company, InSite Vision. He holds a B.S. in Chemistry from the University of California at Davis.

Deb Sheffield

Chief Regulatory Officer

Deborah Sheffield is Chief Regulatory Officer at Galvanize. She is an experienced professional in the design and development of innovative products, with over 25 years of experience in and understanding of the global regulatory environment in the medical device field. She has successfully obtained US and International medical device approvals for clinical studies and market clearance/approvals for Class I, II and III devices in markets including US, Canada, Australia, South America, India and Europe. Her technology experience encompasses a variety of medical devices platforms, including energy-based therapies (RF, laser, ultrasound, IRE), active implantables, and IVD devices for disease states including neuro, pulmonary, GI and cardiac functions.
Deb has previously held several key leadership positions at companies including Johnson & Johnson and at several start-up companies including Northstar Neuroscience (IPO and subsequently acquired by St. Jude Medical). She holds a BS from Kettering University in Industrial Manufacturing Engineering and a MS from Oakland University in Applied Statistics. Kevin Taylor

Chief Operating Officer
Kevin brings to Galvanize nearly three decades of medical device development, operational experience, and industry leadership. His device development experience spans a range of applications, including joint replacement, cardiovascular intervention, ear nose and throat therapies, and therapeutic energy delivery systems. Kevin also has extensive operational experience in pre-commercial and commercial organizations and has held key management positions in companies including Gala Therapeutics, ReCor Medical, Acclarent, and Guidant (now part of Boston Scientific). Kevin earned his mechanical engineering degree at Drexel University and received his MBA degree from the University of Chicago.

Jonathan Waldstreicher, MD

Founder

Jonathan is founder of Galvanize. He has worked in medical devices as an entrepreneur, investor, and clinician. Jon was previously a partner on the MedTech team at ATP, the life sciences venture capital firm where he founded Gala Therapeutics in 2015 and Galaxy Medical in 2020, both of which were merged into Galvanize in 2022. Prior to joining ATP, Jon was a director of Global Surgery R&D at Johnson & Johnson. He started at J&J as an associate director in the Corporate Office of Science & Technology. Before medical school, Jon worked in equity research at Bear Stearns. Jon received a BA from Brandeis University in economics and an MD and MBA from Tufts University School of Medicine. He completed a general surgery internship at Tufts Medical Center in Boston.
